These Website Terms of Service (“Terms”) govern access to and use of the STOFÌDES INFRASTRUCTURE GROUP (“SIG”) website, systems, operational platforms, reporting systems, communications, and related services. SIG is a business division and DBA operating under STOFÌDES CAPITAL MANAGEMENT LLC, a Michigan limited liability company.
By accessing, browsing, using, or interacting with the SIG website or related systems, the user (“User”) acknowledges and agrees to be bound by these Terms.

SIG provides operational workflow organization, administrative infrastructure support, KPI reporting, operational analytics, invoice documentation preparation, workflow visibility support, and related operational support services for contractors and service-based businesses.
SIG operates solely as an operational support platform and administrative coordination provider.
SIG does not provide:

• Physical labor
• Engineering services
• Accounting services
• Bookkeeping services
• Legal services
• Financial advisory services
• Payroll services
• Payment processing services
• Construction supervision
• Staffing services
• Permitting services
• Code-compliance services
• Operational guarantees
Nothing contained within the SIG website or Services shall be construed as creating any contractor, fiduciary, employment, partnership, or management relationship between SIG and any User.

2. INFORMATIONAL PURPOSES ONLY
All workflows, KPI systems, operational analytics, reports, health scores, operational observations, AI-assisted outputs, dashboards, recommendations, and related materials provided by SIG are for informational and organizational purposes only.
SIG does not guarantee:
• Business growth
• Revenue increases
• Profitability
• Operational efficiency
• Customer retention
• Project completion
• Business success
• Contractor performance
• Workflow outcomes
Users remain solely responsible for all operational, financial, legal, tax, labor, and business decisions.

3. AI-ASSISTED SYSTEMS
SIG utilizes AI-assisted systems, automation tools, workflow engines, reporting systems, analytics platforms, operational scoring systems, cloud-based technologies, and digital infrastructure systems in connection with its Services.
AI-generated outputs may contain inaccuracies, assumptions, omissions, or incomplete conclusions.
Although SIG may internally review AI-generated outputs prior to use, SIG makes no representations or warranties regarding the accuracy, completeness, reliability, or operational effectiveness of AI-assisted systems or outputs.

4. USER RESPONSIBILITIES
Users agree to utilize SIG systems, communications, reporting structures, and operational platforms solely for lawful purposes.
Users shall not:
• Misuse SIG systems
• Attempt unauthorized access
• Reverse engineer SIG systems
• Copy proprietary workflows
• Redistribute SIG materials
• White-label SIG systems
• Interfere with operational functionality
• Utilize SIG systems for unlawful purposes
• Misrepresent operational data
Users remain solely responsible for:
• Licensing
• Insurance coverage
• Customer relationships
• Tax obligations
• Labor management
• Regulatory compliance
• Invoicing accuracy
• Business operations

5. INTELLECTUAL PROPERTY
All SIG workflows, KPI systems, templates, dashboards, reporting methodologies, analytics structures, operational scoring systems, AI-assisted systems, branding elements, trade names, proprietary methodologies, operational frameworks, and related intellectual property remain the exclusive property of SIG.
No User may reproduce, distribute, modify, reverse engineer, white-label, resell, commercially exploit, or otherwise utilize SIG proprietary systems or materials without prior written authorization from SIG.

6. THIRD-PARTY SYSTEMS
SIG may utilize third-party platforms, cloud-storage providers, communication systems, workflow software, AI-assisted systems, analytics tools, and related digital technologies.
SIG shall not be liable for interruptions, outages, security breaches, delays, inaccuracies, or failures caused by third-party systems outside of SIG’s direct control.

7. DISCLAIMER OF WARRANTIES
The SIG website, Services, systems, analytics, reports, dashboards, workflows, operational observations, and related materials are provided strictly on an “AS IS” and “AS AVAILABLE” basis.
SIG expressly disclaims all warranties, express or implied, including warranties of:
• Merchantability
• Fitness for a particular purpose
• Operational success
• Profitability
• Business performance
• Non-infringement
• Uninterrupted availability
• Accuracy of operational reporting
SIG makes no guarantees regarding operational outcomes or business performance resulting from use of SIG Services.

8. LIMITATION OF LIABILITY
To the fullest extent permitted by law, SIG shall not be liable for any indirect, incidental, consequential, punitive, exemplary, special, or lost-profit damages arising from or relating to:

• Workflow analytics
• KPI reporting
• AI-assisted outputs
• Operational recommendations
• Website usage
• Business interruptions
• Customer disputes
• Invoice disputes
• Operational decisions
In no event shall SIG’s aggregate liability exceed the total fees paid by User to SIG during the three (3) month period immediately preceding the event giving rise to the claim.

9. INDEMNIFICATION
User agrees to indemnify, defend, and hold harmless SIG, STOFÌDES CAPITAL MANAGEMENT LLC, and their respective owners, affiliates, employees, contractors, representatives, successors, and assigns from and against any claims, liabilities, damages, losses, costs, penalties, judgments, or expenses arising from:
• User business operations
• User misuse of SIG systems
• Customer disputes
• Labor disputes
• Licensing violations
• Regulatory violations
• User-provided inaccuracies
• Violations of applicable law
• Breach of these Terms

10. PRIVACY
Use of the SIG website and Services is additionally governed by the applicable SIG Privacy Policy.

11. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan without regard to conflict-of-law principles.

12. DISPUTE RESOLUTION
Any dispute arising from or relating to these Terms or the use of SIG Services shall be resolved exclusively through binding arbitration conducted within the State of Michigan.
Notwithstanding the foregoing, SIG reserves the right to seek injunctive relief or equitable remedies in any court of competent jurisdiction for matters involving:
• Intellectual property violations
• Unauthorized use of SIG systems
• Confidentiality breaches
• Misappropriation of proprietary information
